West Texas Angel Network (WTAN) is a non-profit corporation based in Amarillo, Texas which facilitates the introduction of entrepreneurs to potential investors through presentations and other mechanisms. WTAN members are individual investors interested in financing privately held companies or ventures which are typically in an early stage of development. All investors associated with WTAN must confirm that:
They are an accredited investor as defined under Rule 501 of the SEC regulations, which defines the same as: A) a financial institution; B) an affiliate of the issuer; or C) an individual with a net worth of at least $1 million (excluding primary residence) or an annual income of at least $200,000 (or $300,000 with a spouse).
They have such knowledge and experience in financial and business matters to be capable of evaluating the relative merits and risks of any investment.
They agree to abide by the terms and rules of WTAN’s Membership Agreement and Bylaws.
They understand that WTAN is not a venture fund, investment bank, broker/dealer, investment clearinghouse, investment portal, or any other form of investment advisor or otherwise, and is not registered with the Securities and Exchange Commission or any state securities commission.
